Acceptance

By accessing or using the Finomics platform and related services, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the service.

These Terms apply to all visitors, users, and others who access or use the service, including organizations and their authorized users.

Services & Access

Finomics provides cloud financial operations (FinOps) platform services including:

• • Cloud cost monitoring and optimization
• • Multi-cloud billing aggregation and analysis
• • Resource usage tracking and reporting
• • Cost allocation and chargeback tools
• • Anomaly detection and alerting
• • Financial governance dashboards

We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

Account Responsibilities

You are responsible for:

• • Maintaining the security of your account credentials
• • All activities that occur under your account
• • Providing accurate and current information
• • Complying with applicable laws and regulations
• • Ensuring authorized access to your cloud provider accounts
• • Reviewing and validating cost data and reports

You must immediately notify us of any unauthorized use of your account or any other breach of security.

Billing & Payment Terms

Billing Cycle

Subscription fees are billed monthly or annually based on your selected plan. Billing occurs on the anniversary of your subscription start date.

Payment Terms

• • Payment is due within 30 days of invoice date
• • Late fees of 1.5% per month may apply to overdue amounts
• • Taxes are calculated based on your billing address
• • All fees are non-refundable except as required by law

Refund Policy

Pro-rated refunds may be available for service cancellations within 30 days of upgrade or downgrade. Data processing and usage-based fees are non-refundable.

Acceptable Use

You agree not to use the service to:

• • Violate any applicable laws or regulations
• • Infringe on intellectual property rights
• • Attempt to gain unauthorized access to systems
• • Interfere with or disrupt the service
• • Upload malicious code or harmful content
• • Use the service for competitive intelligence
• • Resell or redistribute the service without authorization

Intellectual Property

The service and its original content, features, and functionality are owned by Finomics and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your data and content. By using our service, you grant us a limited license to process your data solely for providing the contracted services.

You may not modify, distribute, or create derivative works based on the service without explicit written permission.

Data Processing Addendum

For customers subject to GDPR, CCPA, or other data protection regulations, our Data Processing Addendum (DPA) governs how we process personal data on your behalf.

Key provisions include:

• • Data subject rights fulfillment procedures
• • Security incident notification requirements
• • Audit rights and compliance certifications
• • Data deletion and return procedures

Limitation of Liability

To the maximum extent permitted by law, Finomics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

Indemnity

You agree to indemnify and hold harmless Finomics from any claims, damages, or expenses arising from:

• • Your use of the service in violation of these Terms
• • Your data or content that infringes third-party rights
• • Your negligent or intentional acts or omissions
• • Unauthorized access to your account due to your actions

Termination & Data Export

Either party may terminate the agreement with 30 days written notice. We may terminate immediately for breach of terms or non-payment.

Data Export & Deletion

• • You have 90 days post-termination to export your data
• • Data export is available through API or standard formats
• • We will delete your data 90 days after termination
• • Billing and audit records may be retained as required by law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
